1. Agreement and provider

These Terms of Service (“Terms”) are an agreement between you and Shahab Bahreini, operating as GitMind Pro (“GitMind,” “we,” “us,” or “our”). They apply when you download, install, access, purchase, or use the GitMind extension, website, portal, or related services (collectively, the “Service”).

By using the Service, you accept these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, do not use the Service. If you use the Service for an organization, you confirm that you can bind that organization and that “you” includes it.

2. License and service availability

Subject to these Terms and payment of the applicable one-time fee, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use GitMind Pro on up to 3 devices that you own or control, for personal or internal business use.

The purchase is not a subscription and does not renew automatically. The delivered desktop-license benefit is intended to remain available indefinitely where technically possible. It does not promise perpetual updates, continued activation, support, portal access, hosted features, compatibility with future software or providers, or continued distribution. We may modify, suspend, or discontinue future releases, activation, support, or hosted services with reasonable notice where practicable.

Ending a future release or a GitMind-hosted service does not by itself revoke your paid right to use the delivered desktop version. We may suspend or terminate a license only as described in these Terms, including for misuse, fraud, or a full refund.

A license key is a credential, not property. You must keep it confidential and may not sell, share, transfer, publish, or allow others to use it. We may reissue a key or help recover an account only after verification using the recovery process available at that time; recovery is not guaranteed if you lose access to your account or purchase email.

3. Your responsibilities

You are solely responsible for your repositories, source code, branches, staged and unstaged changes, commit history, credentials, API keys, account access, devices, networks, backups, and all decisions made using the Service. Keep independent, tested backups and use version-control and security practices appropriate to your work.

GitMind proposes content; it does not replace your professional judgment. You must review every selected file, prompt, warning, generated message, commit, changelog, or other output before you use, commit, publish, deploy, or rely on it. You are responsible for ensuring that your content and use of the Service comply with applicable law, your employer or client obligations, repository rules, licenses, and security requirements.

The sensitive-content review is a best-effort heuristic only. It may miss secrets, credentials, personal information, vulnerabilities, or other sensitive material. It is not secret management, code review, push protection, a backup service, or a guarantee against data loss or disclosure.

4. AI providers and third parties

You choose and configure any AI provider and provide the provider credentials. Depending on your settings, GitMind may send selected staged, unstaged, untracked, repository-history, and custom-prompt context directly from your device to that provider. GitMind does not operate as the intermediary for those generation requests.

You are solely responsible for provider selection, permissions, credentials, fees, availability, security, data handling, and output. Your relationship with each provider is governed by that provider’s terms and privacy policy. We do not control and are not responsible for any third-party service, including its availability, accuracy, security, data practices, charges, or changes.

5. Restrictions and ownership

You must not copy, modify, translate, distribute, rent, lease, sublicense, resell, assign, reverse engineer, decompile, disassemble, circumvent licensing or security controls, remove proprietary notices, or use the Service unlawfully or to infringe another person’s rights, except where applicable law expressly permits a restriction to be overridden.

GitMind and its licensors retain all rights, title, and interest in the Service. These Terms grant a license only; they do not transfer ownership. If you send feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation.

6. Payments and refunds

For purchases, Polar’s Buyer Terms and Conditions govern the checkout and reseller transaction. Polar is the merchant of record and GitMind’s authorised reseller; GitMind is the software supplier and these Terms are the license agreement for the Service.

Polar handles payment, applicable taxes, invoices, and payment refunds. GitMind handles product and technical support. Our Refund Policy describes the voluntary 30-day guarantee. Nothing in these Terms or that policy limits non-waivable rights under applicable law.

7. Technical issues and support

We do not provide a service-level agreement, guaranteed support response time, maintenance commitment, data-recovery service, or obligation to develop any feature. If you report a reproducible, material technical defect caused directly by GitMind in a documented supported environment, our sole commitment is to use commercially reasonable efforts to provide a fix or workaround when we determine it is appropriate. We may require reasonable diagnostic information and may decline issues caused by third-party services, unsupported environments, altered software, user content, configuration, or misuse.

8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION.

WE DO NOT WARRANT THAT THE SERVICE WILL PRESERVE OR PROTECT CODE, DATA, KEYS, ACCOUNT ACCESS, PROVIDER ACCESS, OR COMMITS; DETECT EVERY SECRET OR SECURITY ISSUE; PRODUCE CORRECT OR SUITABLE OUTPUT; OR MEET YOUR REQUIREMENTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GITMIND WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF CODE, DATA, KEYS, ACCESS, PROFITS, REVENUE, BUSINESS, GOODWILL, SECURITY, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GITMIND’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO GITMIND FOR THE LICENSE GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including mandatory consumer rights, fraud, fraudulent misrepresentation, intentional misconduct, or applicable privacy obligations.

10. Privacy

Our Privacy Policy explains how we collect, use, disclose, protect, retain, and handle personal information. It forms part of these Terms.

11. Suspension and termination

We may suspend or terminate your access, license, or hosted features immediately if you breach these Terms, misuse a license key, attempt to circumvent controls, commit fraud, or create legal, security, or operational risk. On termination, you must stop using the affected Service. Sections that by their nature should survive, including restrictions, ownership, disclaimers, liability limits, privacy, and general terms, survive.

12. General terms

These Terms are governed by the laws of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Courts located in Alberta have exclusive jurisdiction over disputes, except that consumers retain any mandatory rights to bring a claim in another forum or under laws that cannot be excluded.

You will indemnify and hold GitMind harmless from claims, losses, and reasonable expenses arising from your unlawful use of the Service, your content, or your breach of these Terms. You may not assign these Terms without our consent; we may assign them as part of a business transfer. Notices to us, including privacy requests, must be sent to support@gitmind-pro.com. We may provide notices electronically through the Service or the email associated with your account.

We may update these Terms by posting a revised version and changing the effective date. Material changes will be notified where practicable. If a provision is unenforceable, the remaining provisions remain in effect. These Terms, the Privacy Policy, and the Refund Policy are the entire agreement about the Service.
